General Terms and Conditions of Sale (B2B) – Circularia

1. Purpose
These Terms and Conditions of Sale govern the sale of products between professionals via the Circularia platform, operated by Circularia SAS.

2. Products
The products offered are described and presented as accurately as possible. Visuals and descriptions are provided for information purposes only and are not contractually binding.

3. Orders
Any order validated on the site constitutes full and unconditional acceptance of these Terms and Conditions of Sale.
The Client receives an order confirmation email at the address provided.

4. Prices
Prices are expressed excluding taxes (VAT not included) and do not include delivery fees.
Circularia may modify its pricing at any time, but the applicable price will be the one in effect at the time of the order.

5. Payment
Payments may be made by:

  • Credit card

  • Bank transfer

  • Administrative mandate (depending on eligibility)

In the event of late payment:

  • Late penalties will apply at the legal rate between professionals

  • A fixed compensation fee of €40 will be charged for recovery costs

6. Delivery
Delivery times indicated are estimates.
Risk transfers to the Client once the products are handed over to the carrier (Incoterm EXW, unless otherwise agreed).

7. Claims
Any claim regarding delivery or product conformity must be submitted to Circularia within 7 business days following receipt of the goods.

8. Warranties
Circularia guarantees the conformity of the products sold.
Its liability is limited to the amount of the order and does not cover indirect damages (loss of business, loss of revenue, etc.).

9. Personal Data
Data collected as part of the commercial relationship is processed in accordance with the Privacy Policy available on the website.

10. Applicable Law & Disputes
These Terms and Conditions of Sale are governed by French law.
Any dispute between professionals shall fall under the exclusive jurisdiction of the Commercial Court of Cambrai.
